These terms govern the purchase and use of NeuraPBX licenses. The section below sets out the terms specific to our perpetual, one-time on-prem licenses.
Perpetual On-Prem Licenses
NeuraPBX perpetual licenses (“Own it forever”) are one-time purchases. By purchasing one, you agree that:
- One-time purchase, current version. You receive the version of NeuraPBX available at the time of purchase, with no recurring or subscription fees.
- Licensed to one machine. The license is cryptographically bound to a single machine (its Machine ID) and validates only on that machine. You may not install, copy, or run the software on more than one machine at the same time, including by duplicating an existing installation onto different hardware. Even where this is not technically prevented, doing so is a material breach of these terms and may result in license revocation without refund.
- Core PBX only. Perpetual licenses cover the core PBX feature set and do not include any AI features.
- No guarantee of updates. There is no guarantee of future updates, upgrades, new features, security patches, or included support. Where offered, any of these may be provided separately and may carry an additional charge.
- Provided “as is.” The software is provided “as is” and “as available,” without warranties of any kind, whether express or implied.
- Hardware changes & replacement. If your licensed machine fails, is replaced, or is upgraded, contact us to request a one-time transfer of your license to the new machine. We may require confirmation that the software has been removed from the original machine and proof of your original purchase. Transfers are granted at our discretion, are not guaranteed to be immediate, free of charge, or unlimited in number, and may be refused where we reasonably suspect misuse.
Plan Capacity & “Unlimited” Usage
The extension and SIP trunk figures shown for each plan are technical maximums enforced by the license. Where a plan is described as offering “unlimited” SIP trunks (for example, the Enterprise plan), “unlimited” means a technical ceiling of 9,999 SIP trunks per system (a limit no ordinary deployment reaches) rather than a literally infinite number.
“Unlimited” refers to the number of trunks you may configure; it is not a guarantee of simultaneous-call capacity. NeuraPBX is self-hosted software that you run on your own infrastructure using your own SIP trunks or carrier, so the number of concurrent calls you can actually place or receive depends on your server hardware (CPU, memory, and network) and the channel entitlement provided by your SIP trunk or carrier, both of which are outside our control.
Disclaimer of Warranties
NeuraPBX and all related software, updates, and documentation are provided “as is” and “as available,” with all faults and without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the software will meet your requirements, operate uninterrupted or error-free, be secure, or that defects will be corrected. You assume the entire risk as to the quality, performance, and results of the software.
Limitation of Liability
To the maximum extent permitted by law, in no event will NeuraPBX or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, or for business interruption, however caused and under any theory of liability, even if advised of the possibility of such damages and even if a stated remedy fails of its essential purpose. Our total aggregate liability arising out of or relating to the software or these terms will not exceed the amount you paid for the applicable license.
Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law (including, where applicable, liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence) or affects any non-waivable statutory rights you may have as a consumer. Because some jurisdictions do not allow certain exclusions or limitations, some of the above may not apply to you.
Acceptable Use & Your Compliance Responsibilities
NeuraPBX is self-hosted software that you deploy, configure, and operate. You are solely responsible for using it lawfully and for how you configure and use every feature. Telecommunications, call-recording, marketing, biometric, and privacy laws vary by country, state, and industry and change over time. Without limiting the foregoing, you are responsible for:
- Call recording & monitoring consent. Obtaining any legally required consent before recording, transcribing, or monitoring calls (many jurisdictions require all-party consent). NeuraPBX provides a configurable “this call may be recorded” announcement, which you are responsible for enabling and configuring appropriately.
- Outbound calling & messaging (TCPA and similar). Obtaining prior express consent, honoring Do-Not-Call and opt-out requests, respecting permitted calling hours, and using accurate caller ID for any auto-dialed, prerecorded, AI-voice, or bulk campaign. You must not use the outbound-campaign or messaging features for unlawful telemarketing.
- Biometric data. Providing notice and obtaining written consent before enrolling or matching voiceprints, and maintaining a retention and destruction policy, where required (for example, under biometric-privacy laws such as BIPA).
- Emergency calling. Configuring, testing, and maintaining emergency dialing and location, as described below.
- Data protection. Handling call content, transcripts, recordings, contact data, and any personal data in compliance with applicable data-protection laws (for example, GDPR and CCPA/CPRA), including any notices, consents, security, retention limits, cross-border-transfer requirements, and data-subject rights.
- AI outputs. Reviewing and supervising AI-generated transcriptions, summaries, translations, screening decisions, and automated (bot) responses. AI output may be inaccurate; you are responsible for any reliance on or action taken from it, and for not using it to provide regulated advice without appropriate safeguards.
- Security & fraud. Securing your deployment (credentials, SIP trunks, DISA/PIN access) against toll fraud and unauthorized use.
Feature names and descriptions (including any referring to “compliance,” “PCI,” “redaction,” “screening,” or “verification”) describe functionality and are not a representation that your particular use complies with any law or standard. You are responsible for determining what applies to you and for consulting your own legal counsel.
Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless NeuraPBX and its owners, employees, and suppliers from and against any claims, demands, actions, damages, losses, liabilities, penalties, fines, and costs (including reasonable legal fees) arising out of or relating to your deployment, configuration, or use of the software; your content and call data; your calls, recordings, messages, and campaigns; or your violation of any law or of these terms, including any claim brought by a call participant, message recipient, employee, customer, regulator, or other third party.
Emergency Calling
NeuraPBX is software that you deploy, configure, and operate on your own infrastructure and telephony trunks. Emergency and priority calling (for example 911, 112, or 999) depends entirely on factors outside our control, including your configuration, your SIP trunk or carrier, your network, internet connectivity, and power. We do not provide emergency-calling service and do not guarantee that emergency calls will connect or that accurate location information will be transmitted. You are responsible for configuring, testing, and maintaining emergency calling, for informing your users of any limitations, and for keeping an alternative means of contacting emergency services available. To the maximum extent permitted by law, we disclaim all liability for any failure or limitation of emergency calling.
Refunds
Try before you buy. A free tier and a 30-day trial of the full product, including every AI feature, let you evaluate NeuraPBX on your own hardware, at no cost and with no card, before you spend anything. We ask you to use it: it is the reason the terms below are what they are.
Perpetual (offline) licenses
A perpetual purchase does not deliver a key. It delivers an activation code, which you redeem on the machine you want licensed, whenever you are ready. The key is generated at that moment. Once generated it is a cryptographically signed file that works permanently on that machine with no internet connection and no further contact with us, and we have no technical means to withdraw, disable, or verify the deletion of it. So the line falls at redemption, not at purchase:
- Before you redeem the code: you may cancel for any reason within 14 days and receive a full refund. Nothing irreversible has been delivered, so we simply cancel the code. Just contact us.
- Once you redeem the code: a key exists on your machine and the license fee is non-refundable, because delivery genuinely cannot be reversed. You are told this on the activation page before you redeem.
Redeeming is entirely in your hands: an unredeemed code costs you nothing to hold, so if you are unsure, take the time before you activate.
Annual subscriptions
Subscription licenses are time-limited and can be deactivated, so the position is different: if you request a refund within 14 days of a payment, we will refund it in full. After 14 days a payment is non-refundable, but you may cancel at any time to prevent the next renewal, and your license continues to the end of the period you have already paid for.
Refunding a subscription payment also ends the license: the subscription is cancelled and the server stops being licensed, normally within a day. That is the difference from a perpetual key: a subscription can be withdrawn, so the refund window does not need to be narrow.
Your legal rights are not affected
Nothing above limits rights you have under the law where you live, and we will always honour them:
- If it does not work as described, is faulty, or cannot be made to run on the machine it was licensed for, you are entitled to a remedy (a fix, a re-issued key, or a refund) regardless of when you bought it and regardless of the sections above.
- Consumers in the EU, the EEA and the UK have a 14-day right to withdraw from a purchase of digital content. Nothing here asks you to give that up at checkout: a purchase delivers an activation code, and holding an unredeemed code supplies you with nothing irreversible, so the right is simply preserved for the full 14 days. It ends only if you choose to redeem the code sooner, because that is the point at which the key is generated and supply becomes irreversible, which the activation page tells you before you confirm.
- Consumers in Australia retain the guarantees under the Australian Consumer Law, which cannot be excluded.
To request a refund or raise a problem, contact us. We would rather fix the issue than argue about a clause.
Taxes
All prices are shown exclusive of taxes. You are responsible for any sales, use, VAT, GST, communications, or similar taxes, duties, or levies applicable to your purchase, except for taxes based on NeuraPBX’s net income. Where NeuraPBX is required to collect such taxes, they will be calculated and added at checkout.
Governing Law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules, and the state and federal courts located in Florida will have exclusive jurisdiction over any dispute, except where applicable law grants you the right to bring proceedings elsewhere.
